1. Application of Terms of Use

These Terms of Use govern your use of the CloudMetro Portal (the Portal) offered by Canon Business Services Australia Pty Ltd (“We” or “Us”). By accessing the Portal, you will be deemed to have accepted these Terms of Use. You must refrain from using the Portal if you do not accept these Terms of Use.

We may modify these Terms of Use at any time, and such modifications will become effective immediately upon posting the modified Terms of Use on the Portal. Any use of the Portal by you after any such modified Terms of Use have been posted will be deemed acceptance of those modified Terms of Use.

2. Your Access to the Portal

All costs relating to the access of the Portal, including equipment, will be borne by You. The Portal is provided on an “as is” and “as available” basis. We do not warrant continuous availability and will not be liable for any loss or disruption to your access, including unavailability of a carrier network.

You must take your own precautions to ensure that the process which you employ for accessing this Portal does not expose you to the risk of viruses, malicious computer code or other forms of interference which may damage your equipment or infrastructure.

To the maximum extent permitted by law, we do not accept liability for any interference or damage or claim in connection with Your use of, or any updates, modification or temporary closure of the Portal.

3. Your Account

You are responsible for maintaining and promptly updating your account information for adequacy, accuracy and completeness. You agree (a) to keep your Login Information secure against unauthorised access, (b) not to share your password, nor let anyone else access your account, or do anything else that might jeopardize the security of your account, and (c) to regularly modify your password.

Any use of your account shall be considered as used by You. You agree you are fully responsible for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any breach of security. You agree to indemnify Us against all actions, claims and demands (including the cost of defending or settling any action, claim or demand) arising out of a failure by you or by any person using your Login Information (whether or not you have authorised that person to use your Login Information) to comply with these Terms of Use.

4. Restrictions and Unlawful Use

You must not access or use this Portal for any purpose that is unlawful or prohibited by these Terms of Use. You undertake not to carry out, or permit a third party to carry out, any acts that may interfere with or interrupt the proper functioning of the Portal, including modifying, adapting or creating derivative works of any software, application or documentation, reverse engineering, decompiling, decrypting, disassembling or otherwise attempting to derive the source code for any software or removing or modifying any notices, product identification, copyright or intellectual property notices within the Portal.

5. Suspension and Termination of Your Account

We reserve the right to modify, suspend, deactivate or terminate your access with or without notice if you breach or threaten to breach these Terms of Use, or we believe there has been, or there is a threat of, a security breach. We are not be liable to you or to any third party for any modification, suspension or termination of your account access.

6. Privacy Policy

These Terms of Use must be read in conjunction with (and include) Our Privacy Policy.

7. General

These Terms of Use are governed by the laws applicable in New South Wales and each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of that State. No delay, neglect or forbearance by a party will operate as a waiver or in any way prejudice any rights. To the extent legally permitted, this Agreement contains the entire agreement between the parties with respect to its subject matter.
